Role Title: Assistant General Counsel Technology Transactions

BU/Segment: Legal

Location: Dublin, Republic of Ireland (Flexible hybrid working)

Summary of the role:

EXL is seeking an Assistant General Counsel - Technology Transactions to lead complex technology, vendor, cloud, data, SaaS and software licensing negotiations across the enterprise. This role will serve as a trusted legal advisor to senior business leaders, helping teams evaluate contractual, legal, commercial, policy and reputational risks while enabling practical business outcomes. The ideal candidate brings deep experience with sophisticated commercial agreements, strong judgment, and the ability to operate independently in a fast-paced, highly collaborative global environment.

As part of your duties, you will be responsible for:

  • Lead technology transaction negotiations in one or more business units;

  • Own, enhance and lead our enterprise approach to vendor contracting with direct responsibility for cloud and data agreements;

  • Ensure business teams view the implications of contracts from an end-to-end perspective;

  • Balance business and contract goals against legal, business, policy and reputational risks;

  • Have the judgment to make reasoned decisions to take appropriate risks;

  • Be able to defend positions and views to business team members as well as counterparties;

  • Experience coordinating with other in-house counsel on issues and be able to work cooperatively as one member of a larger team;

  • Background and experience working with complex commercial agreements (i.e. Software Licenses, MSA's, and others);

  • Experience with very intensive, detail-oriented legal work;

Qualifications and experience we consider to be essential for the role:

  • 7+ years of experience; ideally a combination of time with a large law firm as well as in-house experience with a focus on general corporate, technology, SaaS and software licensing matters

  • Ability to prioritize and undertake mission critical tasks in a fast-paced environment

  • Excellent communication and listening skills; the ability to effectively convey complex issues to senior business executives

  • Ability to work under limited supervision

  • Strong organizational and project management skills

  • Takes ownership of issues, is highly responsive and has a strong bias for action

Juris Doctor (JD) or equivalent law degree (LLB) 6+ Years Legal Advisory Provide legal counsel on various matters including corporate governance, regulatory compliance, and business operations.
Contract Management Review, draft, and negotiate contracts and agreements.
Risk Management Identify legal risks and implement strategies to mitigate them.
Litigation Support Assist in managing and overseeing litigation and disputes.
Compliance Ensure compliance with laws, regulations, and internal policies.
