We're looking for an S&P 500 / FTSE 10 level Deputy Company Secretary and Head of Governance with extensive experience in SEC / NYSE listing rules and Irish company law.

This role is responsible for supporting the Group Company Secretary and ensuring that Flutter Entertainment plc meets its legal / regulatory compliance and corporate governance obligations.

The Deputy Company Secretary provides advice to Board members and senior executives on their fiduciary duties as well as being involved with facilitating board meetings, managing regulatory filings, maintaining corporate records, and serving as a key liaison with shareholders and stakeholders.

This position requires a legal or governance background and extensive company secretarial experience.

What you'll do

Board and Committee Support

  • The Deputy Company Secretary is the Secretary of the Audit Committee, Risk and Sustainability Committee, Compensation and HR Committee, and Nominating and Governance Committee and is the primary point of contact for the Chairs of those committees.


  • Coordinating and facilitating Board and Committee meetings, including preparing agendas, board papers, packs and minutes.


  • Responsibility for new Non-Executive Director induction programs, ongoing Director education and training, and the annual board and the annual Committee and Board effectiveness and performance evaluations.


  • Acting in the absence of the Corporate Secretary at Board and Committee meetings.


  • Attending meetings and producing high-quality, accurate minutes to formally record business transacted and decisions made.


  • Managing and updating essential governance documents, such as board/committee charters, corporate governance policies, and "matters reserved for the Board", and delegations of authority.


Legal and Regulatory Compliance

  • Overseeing the timely preparation and filing of statutory and regulatory documents, in particular, the Proxy Statement, 10-K, 10-Q, 8-K, Irish Directors' Report, and other required regulatory announcements and external reporting documents.


  • Managing shareholder communications, including organising annual general meetings and handling shareholder inquiries.


  • Monitoring changes to relevant legislation including U.S. corporate law, SEC regulations, listing rules, Irish company law and corporate governance best practices, and briefing the Board accordingly.


  • Overseeing the maintenance by the Company Secretariat team and ensuring the security and integrity of corporate records, registers, statutory books and legal as per applicable laws and regulations.


  • Overseeing the design and maintenance of an appropriate governance framework and operation of the Group's global subsidiary companies.


  • Advising members of the legal, governance, accounting and tax implications of governance policies.


  • Guiding corporate governance best practices and implementing governance frameworks.


Shareholder and Stakeholder Relations

  • Supporting the Group Company Secretary with communications with shareholders, including managing general meetings (AGMs / EGMs), facilitating the proxy process, and responding to shareholder inquiries in relation to governance related matters.


  • Serving as a key point of contact for the external auditors, registrar (Computershare), external legal counsel, and other third-party service providers.


  • Working closely with the Group Reward Team HR and external executive remuneration consultants to ensure the compliant administration of executive and employee share plans and incentive schemes.


Project and General Management

  • Leading or supporting specific corporate projects from a governance perspective including mergers and acquisitions, reorganizations, re-financing or capital raises.


  • As an effective leader, managing and mentoring the corporate secretarial team


What you'll need

  • Experience of working as Deputy Company Secretary in a S&P 500 / FTSE 10 company with an excellent knowledge of US compliance obligations, best practice and Irish company law is essential


  • Strong communicator with excellent written and verbal communication skills. Capable of translating complex matters without losing commercial focus


  • Excellent attention to detail, organised and thorough and a proactive and flexible approach in a fast-moving environment


  • A team player with excellent interpersonal skills


  • A natural leader of people as well as a strong team player with a collaborative style; a proven track record of effectively delivering through and developing a team
